1. Опцион на продажу акций:
Если механизм реализации опциона на продажу доли в ООО постепенно отрабатывается и вызывает все меньше вопросов у нотариусов, то с опционом на акции в АО пока всё сложнее. Опцион на акции, заключаемый между акционером и владельцем опциона, нигде не фиксируется и никем не удостоверяется (если только стороны сами не пожелают, например, удостоверить его нотариально). В том числе не фиксируется и у реестродержателя акций, в отличие, например, от залога акций. Отсутствие отметки о наличии опциона лишает его главного полезного свойства - без такой отметки держатель опциона (реальный собственник, например) не сможет перевести владение акциями на себя без участия в этом процессе «юридического» акционера. Последний сначала должен дать распоряжение регистратору о необходимости внести изменения в реестр. Поэтому фактически выдать безотзывную оферту на акции нельзя.
Единственным выходом для АО может стать выдача нотариальной доверенности от акционера Общества держателю опциона или его доверенному лицу на совершение всех необходимых для реализации опциона действий. Это позволит владельцу опциона самостоятельно произвести все манипуляции по перерегистрации акций на себя, однако не гарантирует, что за время с момента выдачи опциона до его реализации акционер не продаст акции кому-то другому. Кроме того, доверенность можно отозвать в любой момент.

This will allow the option holder to independently carry out all the manipulations of re-registering the shares on himself, but does not guarantee that the shareholder will not sell the shares to someone else from the time the option is issued until its exercise. In addition, the power of attorney can be revoked at any time.
